Purchase terms & conditions

These terms and conditions apply to the sale of products or services by Emerald Publishing Limited (Emerald) except where alternative terms are agreed separately in writing.

Products

We sell you digital access to the digital content comprised in our products at www.emerald.com/insight. When you purchase access to the digital content and it is downloaded, you will not own it. Instead we give you permission to use it (also known as a 'licence') for the purpose of you and your authorised users using and enjoying it according to these terms and our End User Terms (see below).

Information about the content comprised in our products, including indicative lists and resources for discovery, are maintained on our website Journals, Books, Cases and Resources for Discovery and may be added to at any time.

For products purchased on subscription, the product shall include all content included in the relevant product during your subscription period. For products purchased on a non-subscription (transactional) basis, the product shall comprise content included in the product and/or for the period specified only.

The Publisher reserves the right at any time to withdraw from products any item or part of an item of content for which it no longer retains the right to publish or which it has reasonable grounds to believe infringes a third party’s copyright or other intellectual property right, or which is defamatory, obscene, unlawful or otherwise objectionable.

Where stated, access in perpetuity shall be provided (for products purchased on a subscription basis, this is in respect of the product content published and paid for during the relevant subscription period only). Access in perpetuity will be provided through www.emerald.com/insight. If no right of access in perpetuity is granted, your right to access the product will terminate at the end of the relevant subscription period (or other access period specified).

Payment

All invoices must be paid within 28 days and/or in accordance with the invoice. Subscriptions are payable annually in advance. No online access will be available, nor will print issues be dispatched until payment is received.

Customers shall be liable for any applicable taxes.

In relation to value added tax (VAT):

  1. VAT at the applicable rate is due on print issues delivered within the EU and electronic services provided to customers located within the EU, unless a VAT exemption certificate is produced.
  2. For non-UK EU business customers who are able to produce a valid VAT number, VAT may be zero rated, subject to the reverse charge, on portion of the invoice relating to electronic services provided outside the UK.
  3. For EU customers unable to provide a VAT number, VAT will be charged on electronic services using the rate applicable to the country where the customer is located.
  4. Local taxes are payable where delivery is to South Africa, Malaysia, or the United Arab Emirates. The reverse charge may apply to other customers in other countries, depending on the local jurisdiction.
  5. Emerald reserves the right to change the amount payable on the change of a rate of VAT or any change in VAT regulations.

Cancellation policy

For products and services purchased online, orders may be cancelled within 14 days for a full refund by contacting customer operations, unless the products or services have been used. Once there has been any download or use of the products or services cancellation is not possible and no refund will be payable.

For print products, orders may be cancelled within 14 days of delivery for a full refund provided that, if the products have been dispatched, they are returned upon receipt in the original condition with the invoice at your expense.

Cancellations will not be accepted in any other circumstances.

End-user terms

You shall use all reasonable endeavours to ensure that the users you authorise to use the product or service are aware of the end user terms (the terms applicable to the use of Emerald Insight). Read end user terms (PDF).

Intellectual property

Copyright and all other intellectual property rights in all products and services sold by Emerald shall belong to and continue to belong to the owners of such rights, and you shall not obtain any such rights or interest in such rights by virtue of subscription to, or receipt of any product or service.

Emerald Publishing, Emerald Group, associated logos and/or any other names or logos of products or services provided by Emerald are trademarks of Emerald or its licensors. Nothing in these terms shall in any way exclude, modify or affect any statutory rights under intellectual property laws. All rights not expressly granted by these terms are reserved.

Limit on our responsibility to you

Emerald makes no warranties or representations of any kind concerning the accuracy or suitability of the content for any purpose, or that the access will be uninterrupted or error-free. All content provided is "as-is".

Except for any legal responsibility that we cannot exclude in law (such as for death or personal injury) or arising under applicable laws relating to the protection of your personal information, we are not legally responsible for (i) losses that were not caused by our breach of these terms, or (ii) any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure), or (iii) that were not foreseeable to both you and us when the contract was formed, or (iv) that were caused by any event or circumstance beyond our reasonable control.

Our aggregate liability for all claims, losses or damages arising under or in connection with your purchase of a product shall be limited to the amount received by us in connection with that purchase.

Law and jurisdiction

These terms are governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of England and Wales, provided that Emerald is entitled to apply to any court to bring an action for the infringement of its intellectual property rights.
